These Terms of Service ("Terms") govern your use of the Webscape website and any services provided by Webscape ("we", "us", "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

2. Services

Webscape provides web design, web development, SEO, and related digital services. The specific scope, deliverables, and timeline for each project will be outlined in a separate proposal or agreement.

3. Quotes and Proposals

All quotes and proposals are valid for 30 days from the date of issue unless otherwise stated. Prices are in New Zealand Dollars (NZD) and are exclusive of GST unless stated otherwise.

4. Payment Terms

Payment terms will be outlined in your project proposal. Typically, a deposit is required before work commences, with the remaining balance due on project completion or as per the agreed payment schedule.

Invoices are due within 14 days of issue. Late payments may incur interest at a rate of 2% per month on the outstanding balance.

5. Project Timeline

We will provide estimated timelines for project milestones. While we make every effort to meet these timelines, delays may occur due to factors outside our control, including delays in receiving content, feedback, or approvals from you.

We are not liable for any losses arising from project delays caused by factors outside our reasonable control.

6. Client Responsibilities

You agree to provide all necessary content, images, branding materials, and feedback in a timely manner. You are responsible for ensuring that any content you provide does not infringe on any third-party intellectual property rights.

You agree to provide timely feedback and approvals at each project milestone. Delays in feedback may affect the project timeline.

7. Intellectual Property

Upon full payment, you will own the rights to the final deliverables, including custom designs and code created specifically for your project.

We retain the right to use any work created as part of your project in our portfolio and marketing materials unless otherwise agreed in writing.

Any pre-existing intellectual property, third-party code, or open-source libraries used in your project remain subject to their respective licences.

8. Hosting and Third-Party Services

We may recommend third-party hosting, domain registration, or other services for your project. These services are provided by third parties and are subject to their own terms and conditions. We are not responsible for any issues arising from third-party services.

9. Warranties and Liability

We warrant that our services will be performed with reasonable care and skill. However, we do not guarantee that our services will be error-free or uninterrupted.

To the maximum extent permitted by law, our total liability for any claim arising from our services is limited to the fees paid by you for those services.

We are not liable for any indirect, consequential, or incidental damages, including lost profits, data loss, or business interruption.

10. Termination

Either party may terminate the agreement with 14 days written notice. If you terminate the agreement, you agree to pay for all work completed up to the date of termination.

We reserve the right to terminate the agreement immediately if you breach any of these Terms.

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project. This obligation survives the termination of the agreement.

12. Website Use

You may use our website for lawful purposes only. You must not use our website in any way that could damage, disable, or impair the website or interfere with any other party's use of the website.

We reserve the right to restrict access to our website at any time without notice.

13. Dispute Resolution

Any disputes arising from these Terms or our services will be governed by the laws of New Zealand. Both parties agree to attempt to resolve any disputes through good-faith negotiation before pursuing formal legal proceedings.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page. Your continued use of our website or services after any changes constitutes acceptance of the new Terms.
